Kyrgyzstan is increasingly attracting the attention of foreign funds, family offices and strategic investors: a growing economy, access to the EAEU market and unoccupied niches. But between interest and a real deal lies the question: exactly how can a foreign fund enter the country, in what form, with what structure and what guarantees. Why foreign funds are looking at Kyrgyzstan

Several factors make the country attractive to external capital: membership in the EAEU and, through it, access to the common market of Russia, Kazakhstan and other union countries without customs barriers; a growing economy with a low-base effect; unoccupied niches in energy, the agricultural sector, tourism, IT and infrastructure. Forms of entry for a foreign investor

You can enter in different ways, and the choice of form determines taxes, control and risks.

  • Direct investment. Buying a stake in a project or company. Under the law, acquiring a significant participating stake is treated as direct investment.
  • Setting up a company. Registering your own legal entity in Kyrgyzstan.
  • Joint venture. A partnership with a local player who knows the market.
  • Projects and PPP. Participation in infrastructure projects, including through public-private partnership.

Steps of entry: from analysis to deal

A foreign fund’s path usually goes through several stages. Market analysis and choice of sector. Choosing the entry structure and the deal’s jurisdiction. Accreditation of the foreign investor and registration of a legal entity or formalisation of participation. Due diligence on the specific project. Structuring and closing the deal; for large projects an investment agreement with the state is possible. Legal protection and repatriation

Two questions matter for a foreign investor: whether the investment is protected and whether profit can be withdrawn. The current Law on Investments (2025 edition) establishes national treatment, that is equal rights for foreign and local investors, freedom of investment and protection against unjustified expropriation with compensation at market value. For large investors a stabilisation regime is provided, allowing more favourable terms to be chosen for several years, up to ten, if legislation changes. Repatriation issues are handled fairly freely: the som is freely convertible, there is no strict currency control, and a declaration and confirmation of tax payment are usually sufficient to transfer profit. An additional level of protection is provided by Kyrgyzstan’s participation in the International Centre for Settlement of Investment Disputes (ICSID) and bilateral investment treaties with a number of countries. Project support and protection of investors’ rights are handled by the National Investment Agency under the President of the Kyrgyz Republic. Specific guarantees should be checked against current legislation.

What a foreign fund should consider

  • Local expertise. Without an understanding of the market the risks are noticeably higher.
  • Currency risk. Income in som against reporting in foreign currency.
  • Governance and transparency. Corporate governance and the reliability of partners.
  • Taxes and structure. Depend on the chosen form of entry.
  • Support. A reliable partner on the ground.

The main risks are a lack of local knowledge, currency fluctuations, regulatory changes and the quality of the specific project. They are reduced by a proven local partner, thorough due diligence, a sound deal structure and professional support.
