This User Agreement (the “Agreement”) governs the terms of use of the website kyrgyzinvest.kg (the “Platform”) and the services for listing and searching for investment projects and investors. By using the Platform, you confirm your acceptance of the Agreement.
1. Definitions
- Platform — the website and services that provide information-based interaction between entrepreneurs (project initiators) and investors.
- User — any person using the Platform (a project initiator, investor or visitor).
- Project — information about a business initiative placed on the Platform by an initiator.
- Deal — any arrangements and contracts between an initiator and an investor concluded outside the Platform.
2. Legal status of the Platform
2.1. The Platform is an information service. We are not a broker, dealer, crowdfunding operator, payment agent, management company, depositary or financial adviser.
2.2. The Platform does not accept and does not transfer Users’ funds and does not guarantee the profitability/success of projects.
2.3. All liability for deals rests with the parties to them.
3. Registration and account
3.1. The User confirms that they are at least 18 years old and have legal capacity.
3.2. On registration you provide accurate data. The Platform may request additional verification (KYC/AML).
3.3. The Platform may suspend or block access in the event of a breach of the Agreement.
4. Listing projects
4.1. The initiator is responsible for the completeness, accuracy and truthfulness of the materials posted.
4.2. It is prohibited to publish: false data, misleading returns, third-party materials without consent, confidential information, or unlawful content.
4.3. The Platform may moderate/edit/remove materials without explanation where there are doubts about their good faith or legality.
5. Searching and investing
5.1. The User makes any investment decisions independently, being aware of the risks (including the risk of partial/total capital loss, illiquidity, payment delays and changing market conditions).
5.2. We recommend conducting your own analysis (due diligence) and, where necessary, consulting independent advisers.
5.3. The indicators stated on the Platform (IRR, payback period, etc.) are indicative in nature and are not a guarantee of results.
6. Fees and settlements
6.1. If the Platform charges for listing/services, the terms and pricing are published separately.
6.2. Monetary settlements between the investor and the project initiator are made directly, outside the Platform.
7. Intellectual property
7.1. Rights to the Platform’s materials belong to the Platform and/or rights holders. Copying and distribution are permitted only with written authorisation.
7.2. By posting materials, you grant the Platform a non-exclusive licence to use them for the purposes of operating the service.
8. Confidentiality and data
8.1. Personal data is processed in accordance with the Privacy Policy.
8.2. By posting materials, you undertake not to disclose trade secrets or the personal data of third parties without lawful grounds.
9. Prohibited activity
Fraud, money laundering, terrorist financing, breach of sanctions regimes, distribution of malware, attempts at unauthorised access, and spam.
10. Limitation of liability
10.1. The Platform is provided “as is”. We are not liable for:
— the accuracy and completeness of project data;
— any losses caused by deals between Users;
— interruptions caused by third parties/force majeure.
10.2. The Platform’s aggregate liability, unless otherwise established by law, is limited to the amount of paid services paid by the User over the last 3 months.
11. Complaints and moderation
Send complaints via WhatsApp: +996 706 881 904. We review enquiries within a reasonable time and, where necessary, remove/restrict access to materials.
12. Governing law and disputes
The Agreement is governed by the legislation of the Kyrgyz Republic. Disputes are to be heard by the courts of Bishkek, unless mandatory rules provide otherwise.
13. Changes to the terms
We may update the Agreement. The new version takes effect from the moment it is published on the Platform, unless otherwise stated.
